Terms and Conditions

Last updated: 24 October 2026

1. About these Terms

These Terms and Conditions ("Terms") govern the use of Vanderline Projects ("the Service"). The Service is provided by Avantime Consulting India Private Limited ("Avantime", "we", "us"), which offers its products under the Vanderline brand.

The Service is sold to organizations ("Customer", "you") for business use. It is not offered to consumers. The person who accepts these Terms on behalf of an organization confirms that they have authority to bind it. Each person the Customer allows to use the Service (a "user") must also follow these Terms.

Our Privacy Policy and our Refund and Cancellation Policy form part of these Terms. If you do not agree to these Terms, do not use the Service.

2. The Service

Vanderline Projects is web-based software for project and task management, timesheets and approvals, milestones, budgets, reports, team performance and project chat. It is provided as a subscription. A Customer may also give its own clients read-only "client accounts" to view the projects shared with them.

We may add, change or remove features over time. We will not materially reduce the core functions of the Service during a period you have already paid for.

3. Accounts and sign-in

  • People sign in through Vanderline One, the shared account service for the Vanderline suite. One account works across Vanderline products, and the Customer's administrators control who may use each product.
  • Client accounts, and organizations that have not been connected to Vanderline One, sign in to the Service directly with an email address and password.
  • Registration details must be accurate and kept up to date. Accounts belong to named individuals and must not be shared.
  • Users must keep their sign-in details secure. Tell us at support@vanderline.com straight away if you think an account has been misused.
  • The Customer is responsible for its users, for the roles and permissions it gives them, for the content it puts into the Service, and for having a lawful basis to put personal data about its staff, contractors and clients into the Service.

4. Free trial

A new organization can start a 7-day free trial. No card is required and nothing is charged. During the trial the organization can have up to 4 users (including the administrator), 1 project and 1 client account. If the trial ends without a paid plan, the workspace becomes read-only as described in section 7.

5. Plans, fees and payment

  • The Service has one paid plan, Standard, priced per user per month at the price shown on our pricing page and on the Billing page before you pay. You buy a number of user seats, and each active staff user needs a seat. Client accounts are included in the Standard plan at no extra charge.
  • You can pay monthly or annually. Annual billing is 12 times the monthly price, paid in one amount. There is no annual discount.
  • Fees are charged in advance, for the whole period, through our payment provider Razorpay. We never see or store your full card or bank details.
  • Prices do not include GST unless stated. GST is added as the law requires, and we issue a tax invoice for every payment. Invoices can be downloaded from the Billing page.
  • A recurring subscription renews automatically at the end of each period until it is cancelled. A one-time payment covers the period it was made for and does not renew. Paying before the current period ends adds the new period to the end of the current one.
  • On a recurring subscription an administrator can change the plan from the Billing page. Upgrades (more users, or monthly to annual billing) take effect immediately and are charged now, pro-rata for the rest of the current period. Downgrades (fewer users, or annual to monthly billing) take effect at the next renewal, with no refund. A one-time payment cannot be changed until it ends.
  • We may change our prices by giving administrators at least 30 days' notice by email. A new price applies from your next renewal, not during a period you have paid for.

6. Refunds and cancellation

All fees are non-refundable. An administrator can cancel at any time from the Billing page. Cancelling stops future renewals, and the subscription stays active, with full access, until the end of the period already paid for. The only exceptions to the no-refund rule, and what happens after the paid period ends, are set out in the Refund and Cancellation Policy.

7. Read-only workspaces, failed payments and suspension

  • When a paid period ends without a new payment, or a free trial ends without a paid plan, the workspace becomes read-only. People can still sign in and view the organization's data, and download or export existing records where the Service offers it. Nobody can make changes, and automated reminders and digests stop. Administrators can still open the Billing page. Subscribing again restores full access immediately.
  • If a renewal payment fails, the workspace keeps full access for a grace period of 7 days while the payment is retried and the billing contacts are reminded. If it is still unpaid after that, the workspace becomes read-only.
  • We do not delete a workspace's data because it is read-only. See section 8 for how data is deleted.
  • We may suspend access for a material breach of these Terms, for non-payment, or where continued access poses a security risk to the Service or to other customers. We will give notice before or at the time of suspension where the law allows and it is practical to do so.

8. Your data

  • The Customer owns the content it stores in the Service. We use it only to provide the Service, as described in the Privacy Policy. For that content we act as the Customer's Data Processor under the Digital Personal Data Protection Act, 2023; the Customer is the Data Fiduciary.
  • Each user can download a copy of their own personal data from their profile. Users with the right permissions can download task lists, timesheets and reports (CSV, Excel or PDF), including while the workspace is read-only. An administrator can also ask us for a full machine-readable export of the organization's data.
  • An administrator may ask us to delete the organization's data by writing to support@vanderline.com. We do so within 30 days, and backups roll off within 90 days. We keep records that the law requires us to keep, such as our own invoices and payment records for the period tax law requires.
  • We do not sell Customer content, and we do not use it to train machine-learning models.

9. Acceptable use

You must not use the Service to:

  • break any law, or infringe anyone's intellectual property, privacy or other rights;
  • upload malware, or content that is unlawful, defamatory or obscene, or that you have no right to store;
  • try to gain unauthorised access to the Service, to other customers' data or to our systems, or probe or test their security without our written consent;
  • resell, sublicense or white-label the Service without a written agreement with us;
  • place unreasonable load on the Service, get around rate limits or usage limits, or extract data at scale by automated means.

10. Third-party services

Payments are handled by Razorpay under its own terms. A Customer may connect its own email provider (SMTP, SendGrid or Resend) so that the Service sends email from the Customer's domain. The Customer chooses and contracts with that provider, and is responsible for it.

11. Availability and support

We aim to keep the Service available but do not promise it will be uninterrupted or error-free. Where we can, we schedule planned maintenance outside Indian business hours and announce maintenance that is expected to cause downtime. Support is provided by email at support@vanderline.com.

12. Intellectual property

We own the Service, its software and the Vanderline brand. During your subscription we give the Customer a non-exclusive, non-transferable right for its users to use the Service for the Customer's internal business purposes. If you send us feedback, we may use it without any obligation to you.

13. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform these Terms. This does not apply to information that is public through no fault of the receiving party, that it already lawfully knew, or that it must disclose by law.

14. Warranties

The Service is provided "as is" and "as available". To the extent the law allows, we exclude all implied warranties, including fitness for a particular purpose. The Service helps you manage your work; it does not replace your own professional, legal or financial judgement.

15. Limitation of liability

  • Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data, however caused.
  • Our total liability arising out of or in connection with the Service or these Terms is limited to the fees the Customer paid us in the 12 months before the claim arose.
  • Nothing in these Terms limits any liability that cannot be limited under applicable law.

16. Indemnity

The Customer will compensate us for losses and reasonable costs arising from a claim by a third party that the Customer's content, or the Customer's or its users' use of the Service in breach of these Terms or of the law, infringes that third party's rights.

17. Term and termination

  • These Terms apply from the time you first use the Service until your organization's account is closed.
  • The Customer may stop using the Service at any time by cancelling as described in section 6. Termination by the Customer does not give rise to any refund.
  • We may end these Terms for a material breach that is not fixed within 30 days of written notice, or immediately for a breach of section 9 that threatens the Service or other customers.
  • Sections 8, 12, 13, 15, 16 and 19 continue after these Terms end.

18. Changes to these Terms

We may update these Terms. For a material change we will email administrators at least 30 days before it takes effect, and we will update the date at the top of this page. Using the Service after the change takes effect means you accept it.

19. Governing law and disputes

These Terms are governed by the laws of India. If a dispute arises, the parties will first try to settle it by good-faith negotiation for 30 days after one party writes to the other. If it is not settled, the courts of India have exclusive jurisdiction.

20. Grievance Officer and contact

Under the Information Technology Act, 2000 and the rules made under it, our Grievance Officer can be reached at support@vanderline.com with the subject line "Grievance". We acknowledge a complaint within 24 hours and resolve it within 15 days of receiving it.
